These Terms of Service ("Terms") govern your access to and use of the websites, products, services, and applications (collectively, the "Services") provided by Kiwi AI, LLC ("Kiwi AI", "we", "us", or "our"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Kiwi AI provides AI infrastructure and automation services, including but not limited to conversational AI, voice agents, live broadcasting tools, communication management systems, and custom workflow automation. The specific features and capabilities of the Services may evolve over time.

3. Account Registration

To use certain features of the Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized access or use of your account
• Accept responsibility for all activities that occur under your account

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Send unsolicited communications or engage in any activity that violates anti-spam laws
• Distribute malware, viruses, or any other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services to harass, abuse, or harm others
• Misrepresent your identity or affiliation with any person or entity
• Reverse engineer, decompile, or attempt to extract the source code of our Services

5. Fees and Payment

Use of certain Services may require payment of fees. All fees are quoted on a per-engagement or usage basis as agreed in your service agreement. Fees are non-refundable except as expressly stated. We reserve the right to change our pricing with reasonable notice. You are responsible for all applicable taxes.

6. Intellectual Property

The Services and all content, features, and functionality are owned by Kiwi AI or its licensors and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of any content you provide to the Services. By using the Services, you grant Kiwi AI a limited license to use your content solely to provide the Services to you.

7. Third-Party Services

Our Services integrate with third-party services and APIs (including but not limited to Anthropic, OpenAI, Google, Cloudflare, and others). Your use of these third-party services is governed by their respective terms and privacy policies. Kiwi AI is not responsible for the availability, accuracy, or content of third-party services.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information disclosed in connection with the Services. This obligation survives the termination of these Terms.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. KIWI AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIWI AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, DATA, OR USE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO KIWI AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Kiwi AI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with reasonable notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease, but provisions that by their nature should survive termination will continue to apply.

13. Modifications

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such notice constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state and federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
